VES ENGINEERING SERVICES
Business Terms and Conditions
| 2 November 2026 | UK business use
The supplier is VES Engineering Services Ltd (“we”, “us”). Registered number: 04647739; registered office: 18, Townfields, Ashton-In-Makerfield, Wigan, England, WN4 9LJ. The customer is the person or organisation identified in our quotation (“you”).
These terms apply to services agreed in a quotation, purchase order or other written contract, to the extent incorporated before the contract is formed. Any different terms must be agreed in writing by authorised representatives.
Our quotation identifies the agreed services, locations, working hours, deliverables, price, assumptions and exclusions. Quotations remain open for 30 days unless withdrawn earlier. A contract is formed when we accept your order in writing or begin work by agreement.
Additional tasks, changes to scope, extra visits or unexpected conditions require a written variation, including any price and programme adjustment, before we proceed where practicable.
You must provide safe, timely access, suitable working space, relevant site rules, permits, welfare and utilities reasonably required for the works. You must disclose known hazards, substances, contamination history and restrictions affecting the work.
For laboratory cleaning, you must provide a competent assessment of the fume cupboard’s condition and known chemical/biological/radiological hazards, confirm appropriate decontamination or other controls have been completed where needed, and authorise the agreed routine cleaning. A signed declaration does not replace our own risk assessment or legal duties.
We may refuse or suspend work where conditions appear unsafe, information is incomplete, or the agreed scope is exceeded. We will notify you and discuss the necessary next steps.
Unless expressly stated in the quotation, our laboratory cleaning is routine cleaning of accessible internal and external surfaces and removable components only where safe, authorised and within our assessed competence.
Specialist decontamination, handling or disposal of hazardous waste, removal of unknown residues, ductwork cleaning, LEV examination, testing, servicing, certification, repair and validation are excluded unless separately agreed in writing and appropriately insured and resourced.
Cleaning does not constitute a statement that equipment is free from contamination, safe for subsequent use, or compliant with LEV requirements.
Electrical, mechanical and data works are performed only to the scope specified in the quotation, with applicable standards, testing and documentation as agreed. Any third-party approvals, statutory inspections or specialist certifications must be expressly included to form part of the deliverables.
Dates are estimates unless expressly agreed as fixed. We will use reasonable efforts to meet agreed dates. Delays caused by unsafe conditions, denied access, incomplete information or customer changes may affect programme and cost.
If you cancel or postpone, we may charge reasonable, evidenced costs already incurred and non-recoverable commitments, subject to applicable law and the contract. Any agreed cancellation schedule must be stated in the quotation.
Prices are exclusive of VAT as stated in the quotation. We will invoice at the milestones or completion specified in the quotation. Payment is due within 30 calendar days of a valid invoice unless otherwise agreed.
For qualifying business debts, statutory late-payment interest and recovery costs may apply under the Late Payment of Commercial Debts (Interest) Act 1998, where legally available. Query any disputed invoice promptly and pay undisputed sums on time.
Unless expressly included, removal, classification, carriage and disposal of hazardous waste are the customer’s responsibility and must be arranged through appropriately authorised providers. Ordinary waste arrangements must be agreed in the quotation.
If we discover suspected hazardous material or conditions outside the agreed scope, we may stop affected activities and notify the customer. No work on such material will resume without an agreed safe system and any required competent specialist support.
We will provide the completion record, photographs or test documentation specified in the quotation. Please notify us promptly of any concerns and allow a reasonable opportunity to inspect and, where appropriate, rectify non-conforming work. This does not limit any non-excludable legal rights.
We will maintain insurance appropriate to the activities we have agreed to undertake, subject to policy terms, limits and exclusions. Evidence can be provided on request. No representation is made that activities outside the quotation are insured.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited.
Any proposed cap on other liability must be negotiated and inserted here after legal and insurance review. No blanket exclusion of negligence or consequential loss should be assumed enforceable; statutory reasonableness requirements may apply.
Each party will use reasonable care with the other’s confidential technical and commercial information, except where disclosure is legally required or authorised. Personal data will be handled in accordance with applicable data protection law and the parties’ respective responsibilities.
The parties will first attempt to resolve disputes through good-faith discussion. Subject to any mandatory law or agreed alternative, these terms are governed by the law of England and Wales and disputes fall within the jurisdiction of its courts.
